Acceptance of the Terms of Use

These terms of use are entered into by and between You and Rose Law Firm, P.C., an Oregon professional corporation ( “RLF” “us,” “our,” and “we”). RLF conducts business under of the following trade names, each of which is registered as an assumed business name with the Oregon Secretary of State:

The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of http://www.rose-law.com, including any content, functionality, and services offered on or through http://www.rose-law.com (the "Website).

By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Disclosure of Attorney Relationships

RLF maintains a team of employed and independent attorneys to work with and represent RLF’s clients. All attorneys identified as “Principals,” “Associates,” or “Of Counsel” are members of RLF or “Firm Attorneys”. All Firm Attorneys practice together at RLF and maintain a common and centralized conflict-of-interest checking system designed to comply with the Rules of Professional Conduct and avoid conflicts of interest.

RLF also maintains a network of relationships with Independent Attorneys who are licensed in various jurisdictions from around the United States. Any attorney who is listed on the Website who is identified as an “Independent Attorney” works at a law firm that is separate and independent from RLF. RLF maintains collaborative relationships with these “Independent Attorneys” and may associate with these Independent Attorneys occasionally on a matter-by-matter basis. As in every situation in which another lawyer or law firm is associated to assist on a particular matter, at the beginning of working together with an Independent Attorney on a specific matter, RLF undertakes to verify that the Independent Attorney does not have an ethical conflict of interest that would prevent the Independent Attorney from working with RLF in representing RLF’s client on that matter. Because Independent Attorneys only associate with RLF on specific and discrete matters, RLF does not maintain a centralized conflict-of-interest checking system with the Independent Attorneys. RLF only associates with or shares client files with Independent Attorneys after disclosing and receiving permission from RLF’s client for whom the Independent Attorney will be working.

Changes to the Website

We may update the content on this Website from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Oregon without giving effect to any choice or conflict of law provision or rule (whether of the State of Oregon or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Oregon and County of Clackamas, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. Arbitration

At RLF’s sole discretion, it may require You to submit any dispute or claim that arises out of or that relates to this Website or these Terms of Use, or to the interpretation or breach thereof, or to the existence, validity, or scope of these Terms of Use, to be resolved by arbitration in accordance with the then effective arbitration rules of (and by filing a claim with) Arbitration Service of Portland, Inc., and judgment upon the award rendered pursuant to such arbitration may be entered in any court having jurisdiction thereof.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Attorney Fees

In the event suit or action is brought, or an arbitration proceeding is initiated, to enforce or interpret any of the provisions of these Terms of Use, or that arise out of or relate to these Terms of Use, the prevailing party shall be entitled to reasonable attorney fees in connection therewith. The determination of who is the prevailing party and the amount of reasonable attorney fees to be paid to the prevailing party shall be decided by the arbitrator(s) (with respect to attorney fees incurred prior to and during the arbitration proceedings) and by the court or courts, including any appellate court, in which such matter is tried, heard, or decided, including a court that hears a request to compel or enjoin arbitration or to stay litigation or that hears any exceptions or objections to, or requests to modify, correct, or vacate, an arbitration award submitted to it for confirmation as a judgment (with respect to attorney fees incurred in such court proceedings).

Waiver and Severability

No waiver by RLF of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of RLF to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Rose Law Firm, P.C. regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
